We are currently recruiting for a Company Secretary in London.

 

Contract duration: Temporary ongoing

 

Duties: 

  • Lead the Company Secretariat team, providing: strong objective setting and guidance on priorities and work streams; development, coaching and guidance to the team; and creating a culture of high performance and continuous improvement in the delivery of company secretarial services.
  • Responsible for the creation and development of clear documented processes and procedures for all company secretarial tasks and repeat processes and leading those in the wider team who are responsible for such deliverables.
  • Lead the team to make sure that the team continuously monitors its effectiveness in delivery of company secretarial tasks.
  • Through the company secretariat team monitor developments in corporate governance generally, whether changes in law, regulatory or government approach and make recommendations for any changes or improvements required to achieve compliance/best practice to the GGC and the DGGC, and in turn keep the Board regularly appraised of developments and provide training in this area to the Directors as and when required.
  • Responsible for compliance with the Memorandum of Articles of Association of each Group company, delivering through the team day-to-day Companies Act compliance requirements and London Stock Exchange compliance requirements including day-to-day maintenance of company secretarial records and compilation and submission of statutory returns for each Group company.
  • Responsible for managing board and committee meetings of the client and its Group companies, including: preparation of agendas (having due regard for the terms of reference of each meeting/committee); the timely and efficient circulation of papers and minutes; and the efficient organisation and conduct of such meetings.
  • In fulfilling the above core purpose will lead the Company Secretariat team and establish strong and resilient processes to perform all company secretarial functions required, such as lead production of the Annual Report & Accounts, working with other functions as appropriate.
  • Lead effective delivery of the AGM each year and any other General Meetings as may be required to comply with all formal requirements for AGM including preparation of notices.

 

Essential Skills: 

  • Track record of leading a high performing team and creating a cohesive and progressive culture.
  • Proven experience of mentoring and developing talent within a team.
  • Capable of developing a flexible and resilient team with strong processes
  • Associate Member of the Institute of Chartered Secretaries and Administrators (ICSA)
  • Significant experience of working at a senior level within a company secretarial function
  • Articulate, numerate and very well organised
  • Extremely high level of attention to detail
  • Knowledge and experience of Company Law and the Combined Code requirements
  • Ability to work independently, using initiative and being proactive, particularly when acting on directions from the Board and Committees of the Board.
  • Ability to work under pressure, and to lead a team, without compromising high standards.
